Transforming an old governance model in order to save a professional association.

Situation
An organization of 6,000 entrepreneurs was using a historic organizational model that was not well-matched to either what the organization needed to do for its members or how it should run. Because of this, the board was becoming fragmented and polarized—and was being held captive by a minority opinion being expressed by a few strong voices. Making matters worse, members were becoming increasingly disenchanted with the value they were receiving from the organization. And staff was in turmoil and prepared to leave, feeling the trauma of a polarized board meddling in administrative detail.

TC Solution
First, in-depth interviews were conducted by telephone with both member and staff key stakeholders.

Second, board and senior staff were gathered together for a retreat that would allow all parties to examine alternative models of governance, envision the nature of preferred governance, select a model well-matched to their vision, and begin developing a transition plan. By following this approach, both board and staff leadership were able to recognize the absence of a common vision and consensus on strategy. A process for strategic planning was then designed, installed and used as the vehicle for continuous team development driven by a common vision.

Finally, the leadership of the association’s chapters were engaged in a series of activities designed to actively involve them in the strategic planning process. By familiarizing them with the new governance model the national organization had committed to, they were able to fashion a model for chapter use that would be compatible with the new national philosophy.

Results
The lesson learned: An association’s organization structure needs to be matched to the kind of work needed to provide value to its members. TC continues to work with this association to enhance its organizational model and continue to align it with their envisioned future..
